License Agreement for Badtz UI Pro

This License Agreement (the “Agreement”) is made between Badtz UI Pro (“Licensor”) and any individual or entity (“Licensee”) who purchases, downloads, or uses any of the Licensor’s components or assets (collectively referred to as the “Products”). By accessing or using the Products, the Licensee agrees to the terms outlined in this Agreement.

1. License Grant

The Licensor grants the Licensee a limited, non-exclusive, non-transferable license to use the Products under the following conditions:

Permitted Usage:

You may use the components in your personal or commercial projects, including client work or internal business tools.

You’re allowed to customize the components to better fit your project needs.

Prohibited Usage:

You may not resell, redistribute, sublicense, or share the Products, whether in original or modified form.

You may not claim credit for the creation of the Products, even if you've customized them.

You may not use the Products to build or distribute competing UI kits, design libraries, or similar offerings.

2. Unauthorized Distribution & Penalties

If you're found redistributing, sharing, or reselling the Products without authorization, the Licensor reserves the right to:

Issue a DMCA takedown notice against the infringing content or platform.

Demand liquidated damages of $10,000 USD per violation as fair compensation for the breach.

Pursue additional legal remedies, including injunctions or other damages allowed under applicable law.

3. Intellectual Property

All rights, title, and interest in the Products remain with Badtz UI Pro. This Agreement gives you usage rights, not ownership. All rights not explicitly granted are reserved.

4. Refund Policy

Due to the digital and irrevocable nature of the Products, all sales are considered final. No refunds or returns will be issued once a purchase is completed.

5. Updates & Support

Badtz UI Pro may provide occasional updates, bug fixes, or improvements. These updates, if any, are also subject to this Agreement. Support may be provided on a best-effort basis via [email protected].

6. Disclaimer of Warranties

The Products are provided “as is” with no warranties, express or implied. We do not guarantee that the components will be error-free or meet your specific requirements.

7. Limitation of Liability

To the fullest extent allowed by law, Badtz UI Pro will not be liable for any damages resulting from the use or misuse of the Products — including but not limited to direct, indirect, incidental, or consequential damages.

8. Termination

This Agreement is valid until terminated. If the Licensee violates any terms, the Licensor may revoke the license immediately. Upon termination, the Licensee must cease all use of the Products and delete all copies.

9. Governing Law

This Agreement is governed by the laws of France (or another jurisdiction if you prefer), without regard to conflict of law principles. Any disputes shall be handled by the competent courts of that jurisdiction.
